HANDSON CONNECT MASTER SERVICES AGREEMENT
By agreeing to this Master Services Agreement (“Agreement”) you represent that you have the right to bind your organization (“Customer”) to its terms and conditions. If you do not have such rights, you should not agree to this Agreement or use the Services.
HOCCS solutions are provided to customers on a Software as a Service (SaaS) basis.
This Agreement governs the Parties’ relation in connection with Customer’s subscription, as well as its Users (as defined below), access to, and usage of the Service (as further defined below).
1. Ordering. Customer may order from Avviato, Inc., d/b/a HandsOn Connect Cloud Solutions, (“HOCCS”) rights to access and use HOCCS’s online services (the “Services”) as specified in one or more order forms (each an “Order Form”). Each Order Form constitutes a binding commitment to license and pay for the items described on such Order Form under this Agreement. All Order Forms are incorporated herein by reference.
2. Scope and Access Rights. Customer may access and use the Services in accordance with and subject to any restrictions set forth in this Agreement and other documents expressly referenced herein. Subject to the terms and conditions of this Agreement, HOCCS hereby grants to Customer and its designated users (“Users”) a limited, worldwide, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for Customer’s business purposes. Customer hereby grants to HOCCS a worldwide, royalty-free, non-exclusive right and license to use Customer’s logo and/or trademark (“Customer Mark”) in connection with HOCCS’s provision of the Services, so long as HOCCS’s use of any Customer Mark adheres to any trademark usage policy or brand guidelines provided by Customer to HOCCS.
3. Restrictions. Except as otherwise permitted hereunder, Customer agrees not to: (a) reverse engineer or otherwise attempt to discover the source code of or trade secrets embodied in the Services, except to the extent such restriction is not permitted by law; (b) distribute, transfer, sublicense, or otherwise make available the Services (or any portion thereof) to third parties other than Users, or as otherwise provided herein; (c) use the Services in violation of any applicable law, rule or regulation, including any export/import laws, or (d) in any way access, use, or copy any portion of the Services to directly or indirectly develop, promote, distribute, sell or support any competitive product or service.
4.1. Collection and Storage by HOCCS. Solely to the extent necessary for the provision of the Service to the Customer (as described in detail in Section 4.2 below), HOCCS (in its capacity as Data Processor) may from time to time be provided with, or have access to, information of Customer (in its capacity as Data Controller), which may qualify as Personal Data.
4.2. Data Categories. HOCCS collects, processes and stores (i) Users’ metadata – which may be considered as Personal Data in some jurisdictions, including: (a) IP addresses in logs of Users, (b) web application information (page title and URL – solely to the extent it contains any Personal Data); and (c) location information (only country and city). Such information is processed in order for HOCCS to provide the default functionalities of the Service, the ongoing operation thereof and for security purposes.
In addition, HOCCS will process: (a) e-mail addresses of Customer’s personnel authorized for the purpose of creating Outputs (i.e. HOCCS Editor admins); and (b) when Customer, or its User’s, contact HOCCS in connection with customer support services.
In the event that Customer has subscribed to use of “special features” of the Service per an Order Form, or otherwise instructs HOCCS in writing to enable such features (either by email or within the Service dashboard) for the Customer’s benefit, HOCCS may collect, store and process additional Personal Data in the course of Customer’s use of such special features (i.e. Digital Analytics Experience & Visions). For a complete list of the special features and for the description of the Personal Data associated with the enablement of each such special feature, please refer to HOCCS’s Privacy Policy, available at: https://www.handsonconnect.org/privacy-policy/ (“Privacy Policy”), which is hereby incorporated by reference to this Agreement. Customer may opt-out from such special features by contacting HOCCS at [email protected].
5. Compliance. Customer warrants that it shall comply with this Agreement, HOCCS’s Terms of Use policy (found at: https://www.handsonconnect.org/terms-and-conditions/) (the “AUP”), and all applicable laws relating to its use of the Services. Customer shall indemnify, defend, and hold HOCCS harmless from and against any and all claims or liabilities of any kind arising out of a breach of the foregoing warranties.
6. Fees. All fees for licenses to the Services (the “Fees”) will be set forth on the applicable Order Form. Unless otherwise agreed to in writing by the Parties, Customer will pay to HOCCS all Fees owed within thirty (30) days after execution of the Order Form. Customer is responsible for any and all applicable sales, use, and other taxes (other than taxes based on HOCCS’s income). Each Party is responsible for its own expenses under this Agreement.
7. Term & Termination.
7.1 Term. This Agreement shall continue in effect until terminated as set forth herein. The term of each license to the Services purchased by Customer will commence on the date set forth on the applicable Order Form and will continue for the period set forth on such Order Form. Unless otherwise set forth on the applicable Order Form, Customer’s license to the Services will automatically renew for the term set forth on the applicable Order Form and at the Fees designated by HOCCS prior to such renewal date, unless Customer gives HOCCS written notice of its intent not to renew on the same terms at least thirty (30) days prior to the end of the applicable term.
7.2 Termination. This Agreement and/or any Order Form, if applicable, may be terminated (a) by either Party if the other Party materially breaches this Agreement and does not cure the breach within thirty (30) days after receiving written notice thereof from the non-breaching Party; or (b) by either Party if the other Party provides proof that it made a general assignment for the benefit of creditors, suffered or permitted the appointment of a receiver for its business or assets, or availed itself of or became subject to any proceeding under the U.S. Federal Bankruptcy Act or any other foreign or domestic statute, law, rule or regulation relating to insolvency or the protection of rights of creditors. Upon any termination of this Agreement or an Order Form (a) all rights licensed and obligations required thereunder shall immediately cease; provided that Sections 4, 5, 8, and 9 shall survive termination, and (b) Customer shall pay to HOCCS any Fees accrued or outstanding prior to the date of termination.
8. Proprietary Rights. As between the Parties, (a) HOCCS will retain all ownership rights in and to the Services, all updates and/or upgrades thereto, and other derivative works of the Services that may be provided by HOCCS, including any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by Customer or any other party relating to the Services, and all intellectual property rights incorporated into or related to the foregoing; and (b) Customer will retain all ownership rights in and all intellectual property rights in and to any content that it uploads into the Services (“Customer Content”).
9. Confidentiality. “Confidential Information” means, with respect to a Party (the “Disclosing Party”), information that pertains to such Party’s business, including, without limitation, technical, marketing, financial, employee, sponsors people seeking asylum, planning, product roadmaps and documentation, performance results, pricing, and other proprietary information. Confidential Information will be designated and/or marked as confidential
when disclosed, provided that any information that the Party receiving such information (the “Receiving Party”) knew or reasonably should have known is considered confidential or proprietary by the Disclosing Party, will be considered Confidential Information of the Disclosing Party even if not designated or marked as such. The Receiving Party shall preserve the confidentiality of the Disclosing Party’s Confidential Information and treat such Confidential Information with at least the same degree of care that the Receiving Party uses to protect its own Confidential Information, but not less than a reasonable standard of care and in accordance with applicable legislation. The Receiving Party will use the Confidential Information of the Disclosing Party only to exercise rights and perform obligations under this Agreement. Confidential Information of the Disclosing Party will be disclosed only to those employees and contractors of the Receiving Party with a need to know such information. The Receiving Party shall not be liable to the Disclosing Party for the release of Confidential Information if such information: (a) was known to the Receiving Party on or before the Effective Date of this Agreement without restriction as to use or disclosure; (b) is released into the public domain through no fault of the Receiving Party; (c) was independently developed solely by the employees of the Receiving Party who have not had access to Confidential Information; or (d) is divulged pursuant to any legal proceeding or otherwise required by law, provided that, to the extent legally permissible, the Receiving Party will notify the Disclosing Party promptly of such required disclosure and reasonably assists the Disclosing Party in efforts to limit such required disclosure.
10. HOCCS Warranties, Indemnification, and Limitation of Liability.
10.1 By HOCCS. HOCCS warrants that (a) the Services will be free from material defects, and (b) HOCCS will not knowingly introduce any “back door,” “time bomb,” “Trojan horse,” “worm,” “drop dead device,” “virus,” “preventative routines” or other computer software routines within the Services that are intentionally designed to permit unauthorized access to or use of either the Services or Customer’s computer systems (“Viruses”). In the event of any breach of the warranty in subsection (a) above, HOCCS shall, as its sole liability and Customer’s sole remedy, diligently remedy any deficiencies that cause the Services to not conform to the foregoing warranty promptly after its receipt of written notice from Customer. HOCCS will not be liable to the extent that any breach of the foregoing warranties are caused by (i) third-party components (including in combination with the Services) not provided by HOCCS; (ii) unauthorized use or use of the Services other than in accordance with HOCCS’s instruction, or (iii) Viruses introduced by Customer or its agents (collectively, “Exclusions”).
10.2 Indemnification. HOCCS will defend at its own expense any action against Customer brought by a third party to the extent that the action is based upon a claim that the Services infringe or misappropriate any copyright or trade secret rights, and HOCCS will pay those costs and damages finally awarded against Customer in any such action that are specifically attributable to such claim, or those costs and damages agreed to in a monetary settlement of such action. The foregoing obligations are conditioned on Customer notifying HOCCS promptly in writing of such action, Customer giving HOCCS sole control of the defense thereof and any related settlement negotiations, and Customer cooperating and, at HOCCS’s reasonable request and expense, assisting in such defense. If the Services (or any component thereof) becomes, or in HOCCS’s opinion is likely to become, the subject of an infringement claim, HOCCS may, at its option and expense, either (a) procure for Customer the right to continue exercising the access rights granted to Customer in this Agreement, or (b) by written notification to the Customer, replace or modify the Services so that they become non-infringing and remain functionally equivalent. If neither of the foregoing options are, in HOCCS’ reasonable opinion, commercially reasonable, HOCCS may terminate this Agreement provided prior written notice is given to the Customer and will refund to Customer a pro-rata portion of any applicable prepaid Fees. Notwithstanding the foregoing, HOCCS will have no obligation under this Section 10.2 or otherwise with respect to any infringement claim based upon (i) any Exclusions or (ii) Customer Content. This Section 10.2 states HOCCS’s entire liability and Customer’s sole and exclusive remedy for infringement claims and actions.
10.3 Disclaimer. THE EXPRESS WARRANTIES IN SECTION 10.1 ARE THE EXCLUSIVE WARRANTIES OFFERED BY HOCCS, AND ALL OTHER WARRANTIES, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, TITLE, MERCHANTABILITY AND THOSE THAT ARISE FROM ANY COURSE OF DEALING OR COURSE OF PERFORMANCE ARE HEREBY DISCLAIMED.
10.4 Limitation of Liability. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY OR TO ANY THIRD PARTY, WHETHER UNDER THEORY OF CONTRACT, TORT OR OTHERWISE, FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, OR SPECIAL DAMAGES (INCLUDING ANY DAMAGE TO BUSINESS REPUTATION, LOST PROFITS OR LOST DATA), WHETHER FORESEEABLE OR NOT AND WHETHER SUCH PARTY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ADDITION, BOTH PARTIES’ AGGREGATE CUMULATIVE LIABILITY IN CONNECTION WITH THIS AGREEMENT, INCLUDING THE SERVICES, PROFESSIONAL SERVICES AND INTELLECTUAL PROPERTY PROVIDED HEREUNDER, SHALL NOT EXCEED, IN THE AGGREGATE AND REGARDLESS OF WHETHER UNDER THEORY OF CONTRACT, TORT OR OTHERWISE, THE TOTAL OF THE FEES ACTUALLY PAID BY CUSTOMER UNDER THIS AGREEMENT DURING THE ONE (1) YEAR PERIOD PRIOR TO THE DATE THAT SUCH LIABILITY FIRST ARISES. HOWEVER, THERE IS NO LIMITATION ON DIRECT LOSS, CLAIM OR DAMAGES ARISING AS A RESULT OF AN INFRINGEMENT OF EITHER PARTY’S INTELLECTUAL PROPERTY RIGHTS OR IN CONNECTION WITH A PARTY’S INDEMNIFICATION OBLIGATIONS.
11. Professional Services. If an applicable Order Form includes the provision of certain professional services (which typically include implementation, training with respect of the use of the Service, or assistance in creating Outputs (as defined below)) (“Professional Services”), then such services shall be provided in accordance standard service listed in the Order Form or with a separate Statement of Work (“SOW”).
The Professional Services shall be provided remotely (and not at Customer’s site), unless otherwise agreed in writing between the Parties. If agreed, the Professional Services can be performed by a third party.
12. Governing Law and Jurisdiction. The law that will apply in any dispute or lawsuit arising out of or in connection with this Agreement, including its exhibits, the Order Forms and SOWs, and the courts that have jurisdiction over any such dispute or lawsuit, depend on the HOCCS entity entering into this Agreement as detailed below.

13. Export Restrictions. The Services and other technology HOCCS makes available, and derivatives thereof may be subject to export laws and regulations of the United States and other jurisdictions. Each Party represents that it is not named on any U.S. government denied-party list. Customer shall not permit Users to access or use any of the Services in a U.S. embargoed country or in violation of any U.S. export law or regulation.
14a. Other Provisions (Part 1). If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law, the provision will be deemed null and void, and the remaining provisions of this Agreement will remain in effect. Any notice required or permitted to be given by either Party under this Agreement shall be in writing and may be delivered by courier, sent by registered letter, and shall be effective upon receipt or, if sent by email, upon proof of being sent. Any notice to either Party shall be sent to the contact information listed in the applicable Order Form. A copy of notices to HOCCS shall also be sent to [email protected].
No failure or delay by any Party at any time to enforce one or more of the terms, conditions or obligations of this Agreement will (i) constitute waiver of such term, condition or obligation; (ii) preclude such Party from requiring performance by the other Party at any later time; or (iii) be deemed to be a waiver of any other subsequent term, condition or obligation, whether of like or different nature.
In any event of a conflict or inconsistency between the terms herein and the terms of the Order Form, the terms of the Order Form shall prevail. Any additional or conflicting terms contained in purchase orders issued by Customer with respect to the subject matter hereof are hereby expressly rejected and shall have no force or effect on the terms of this Agreement or any Order Form.
The Parties are independent contractors. This Agreement does not create a partnership, franchise, joint venture, agency, and fiduciary or employment relationship between the Parties.
Except for payment obligations, neither HOCCS nor Customer will be liable for inadequate performance to the extent caused by a condition that was beyond the party’s reasonable control (for example, natural disaster, act of war or terrorism, riot, labor condition, governmental action, and Internet disturbance). Except to the extent required by applicable law, there are no third-party beneficiaries under this Agreement.
